- Supervisor: In principle, cannot be held concurrently by the Legal Representative and requires a different person. However, for small businesses, registering a Supervisor is not mandatory (reflecting recent Chinese New Company Law practices).

Receiving the ‘Business License’ from AIC is not the end. The following 4 registrations must be completed to enable actual business operations and fund transfers.

Register real names of the corporation and legal representative with the competent tax bureau, and acquire the tax terminal and receipt (Fapiao) authorization for issuing tax invoices.
2 · SAFE Registration
Register corporate information with the State Administration of Foreign Exchange (SAFE) to receive capital from the overseas parent company or exchange trade payments.
3 · Bank Account Opening
Open a 'RMB Basic Account' for RMB settlements and a 'Capital Account' to receive USD/KRW capital investments.
4 · Social Security Opening
To hire even one local employee in China, you must open accounts with the competent labor and social security bureaus and pay the 5 major insurances and housing fund.

Expanding Sales to Other Regions (Cross-City Sales)
Can a Shenzhen entity sell to all over China, including Shanghai and Guangzhou?
✅ Free to sell across China without a physical presence.
Even if you set up a WFOE in Shenzhen, there are no geographical restrictions on selling goods to customers in Shanghai or Beijing and issuing tax invoices (Fapiao) under the Shenzhen entity's name.
⚠️ Cases where Branch Establishment is Mandatory
However, in the following cases, establishing a ‘Branch’ with a business license in that other region (e.g., Shanghai) is required for legal operations.
- Physical Space: Renting an actual office or warehouse (store) with resident staff and a signboard, rather than a simple liaison office, in Shanghai.
- Local Hiring: Hiring employees locally in Shanghai and directly paying social security to the Shanghai government.

Profit Dividends and Withholding Tax Rates
Taxes incurred in China when paying dividends to overseas shareholders.
When a China WFOE pays corporate tax and distributes the remaining net profit to an overseas shareholder, the Chinese tax bureau deducts a ‘Withholding Tax’ before remittance to prevent national wealth outflow.
Individual Shareholder
- Withholding Tax Rate: 10%
- Under tax treaties, there are generally no additional reduction benefits for individual shareholders, and the standard 10% rate applies.
- When filing comprehensive income tax in the home country, this 10% is usually deducted as a ‘Foreign Tax Credit’ to prevent double taxation.
Corporate Shareholder
- Withholding Tax Rate: 5% (Tax Treaty Reduction Benefit)
- Condition: If the parent company is the Ultimate Beneficial Owner (UBO) holding 25% or more shares of the Chinese subsidiary, it can often be reduced to half (5%) according to Tax Treaties.
- For corporations with less than 25% equity, the 10% rate generally applies.
